My HABA Idea

By submitting and/or posting and/or uploading an idea, comment or other message on this website, including but not limited to be photos, pictures, video and/or audio clips (collectively: the submitted material), you waiver, as far as this is permitted by the applicable regulations, irrevocably and unconditionally, all moral rights and intellectual property rights in its fullest extent to the benefit of Haba B.V., and the intellectual property rights and/or similar rights to the material submitted by you – as far as these lay with you – will be transferred to Haba B.V., without Haba B.V. having to pay any compensation to you.
You expressly acknowledge that this waiver means that Haba B.V. has the right, in its sole discretion, to edit and adjust the material submitted. HABA B.V. reserves the right to optimize the material submitted by you and take it into production.

You acknowledge that the transfer means that Haba B.V. can worldwide exploit and give unlimited license of the material submitted, in all current and future forms of exploitation in every conceivable medium. You warrant to be authorized for this transfer.
If and to the extent that a full transfer of a right in this way is not possible according to the law, you grant Haba B.V. by the posting of the submitted material an exclusive, worldwide and perpetual license with the right on sub license to publish and reproduce submitted material, without Haba B.V. having to pay any compensation to you.

You agree that the material submitted by you does not infringe (intellectual property) rights of others and is not (can’t be) hurtful, abusive, racist, discriminatory or otherwise contrary to good taste or decency.
HABA B.V. has the right to refuse or immediately remove material submitted by you when (HABA B.V. suspects) this is the case.
You agree to indemnify and hold harmless Haba B.V. for any claims by third parties due to infringement on their (intellectual property) rights and all associated damages and costs.

If further proceedings are or seem to be necessary to obtain personality and/or intellectual property rights by Haba B.V. at any time, you commit yourself to cooperate to these proceedings on first request of Haba B.V. without further conditions. In the case costs have to be made by third parties, (including by official bodies), then those costs will be borne by Haba B.V.
